Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Basil Family Partners ("Company," "we," "our," or "us") regarding your use of AYO ("the Service"), an SMS-based AI assistant.

By accessing or using AYO, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

AYO is an AI-powered assistant that operates via SMS in group text chats. AYO can help with tasks including but not limited to: finding restaurants, booking rides, playing games, answering questions, providing weather information, and more. AYO is designed to be added to group chats where it responds when mentioned.

3. Eligibility

• You must be at least 13 years old to use the Service
• You must have a valid US phone number capable of sending and receiving SMS
• You must have the legal capacity to enter into these Terms

4. User Accounts

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security and confidentiality of your account
• You are responsible for all activities that occur under your account
• One account per person; accounts are non-transferable
• You must notify us immediately of any unauthorized use of your account

5. SMS Terms & Consent

By using AYO, you expressly consent to receive SMS messages from us. You understand and agree that:

• Message Frequency: Message frequency varies based on your usage of the Service
• Message & Data Rates: Standard message and data rates from your wireless carrier may apply to messages sent and received
• Opt-Out: You may opt out at any time by texting STOP to the AYO number. You will receive a confirmation message and no further messages will be sent unless you re-subscribe.
• Help: For help, text HELP to the AYO number or email support@getayo.com
• Carrier Liability: Carriers are not liable for delayed or undelivered messages
• Supported Carriers: Service is available on most major US carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carrier participation may vary.

Your consent to receive SMS messages is not a condition of any purchase.

6. Acceptable Use

You agree NOT to use AYO to:

• Send spam, unsolicited messages, or bulk communications
• Harass, abuse, threaten, or intimidate others
• Engage in or promote illegal activities
• Attempt to hack, reverse-engineer, disrupt, or exploit the Service
• Impersonate any person or entity
• Spread false information or misleading content
• Violate the intellectual property or privacy rights of others
• Transmit malware, viruses, or harmful code
• Use the Service for any commercial purpose without our written authorization
• Circumvent any access controls or usage limits

We reserve the right to investigate and take appropriate action against anyone who violates these Terms, including removing content, suspending accounts, and reporting to law enforcement.

7. Third-Party Services

AYO integrates with third-party services (AI providers, Twilio, Uber, Lyft, Yelp, etc.) to provide functionality. When you use these integrations:

• Your use is subject to the respective third party's terms and policies
• We are not responsible for the availability, accuracy, or content provided by third parties
• Third-party services may require separate accounts or payment

8. API Keys & Billing

If you provide your own API keys for AI providers (OpenAI, Anthropic, etc.):

• You are solely responsible for any charges incurred through those API keys
• We encrypt and securely store your keys but are not liable for unauthorized use
• You must ensure your API usage complies with the respective provider's terms

9. Intellectual Property

The AYO name, logo, and all related intellectual property are owned by Basil Family Partners. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes in accordance with these Terms.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) AYO's responses will be accurate, complete, reliable, or error-free; (b) the Service will be uninterrupted or secure; (c) any errors will be corrected. AI can make mistakes. You should verify important information independently.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BASIL FAMILY PARTNERS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Basil Family Partners and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party.

13. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, with or without notice. You may terminate your account at any time by texting STOP or deleting your account in the dashboard. Upon termination, your right to use the Service ceases immediately.

14. Governing Law & Disputes

These Terms shall be governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Los Angeles County, California.

15. Changes to Terms

We may modify these Terms at any time by posting the updated Terms on this page. Material changes will be communicated via the Service or email. Your continued use of the Service after changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
